Terms of Service
These Terms govern your use of neuralai.agency and any services you buy from Adriatic Neural Network LLC (“ANN”). By using the site or engaging our services, you agree to these Terms.
1. Services
ANN provides AI agent services including, but not limited to, AI visibility and search optimization, copyright and brand protection, content creation, brand monitoring, and custom workflow automation. The specific deliverables for paid work are defined in an engagement letter or statement of work.
2. Your responsibilities
Provide accurate information, grant the access we reasonably need to do the work, and use our services lawfully.
3. Payment
Subscriptions are billed monthly via Stripe and auto-renew until cancelled. You may cancel anytime; cancellation stops future billing and is not retroactive.
4. Intellectual property
You own your data and the content you provide. ANN owns its methodology, software, agents, and processes ("Background IP"). Deliverables are licensed to you for your use upon full payment — not assigned — unless an engagement letter states otherwise.
4a. Course materials license
Enrollment in ANN's Agent Systems Engineering program grants you a personal, non-exclusive, non-transferable license to access and study the course materials for your own learning. You may not:
- Copy, distribute, or share course materials (including lesson files, code labs, and capstone templates) with anyone not enrolled in the same course.
- Use course materials to train, fine-tune, or develop competing educational products or commercial agent services without written permission.
- Post, upload, or otherwise make course materials publicly accessible on any platform (GitHub, Discord, YouTube, etc.).
All course materials are marked "Proprietary & Confidential" and contain ANN copyright notices. Violation of this license may result in immediate termination of access without refund.
4b. Cohort recordings
Live cohort sessions may be recorded for the benefit of enrolled students. Recordings are confidential and subject to the same non-sharing terms as course materials.
5. Limitation of liability
To the maximum extent permitted by law, ANN’s total liability for any claim is capped at the fees you paid ANN in the twelve (12) months before the claim. ANN is not liable for indirect, incidental, consequential, or special damages, or for errors in AI-generated output.
6. Disclaimer of warranties
Services are provided “as is.” We do not guarantee specific outcomes (such as search rankings, content takedowns, or grant awards). AI outputs may contain errors.
7. Indemnification
You agree to indemnify ANN against claims arising from your misuse of the services or your violation of law or third-party rights.
8. Termination
Either party may cancel with 30 days’ written notice. On termination, we return your data within 30 days.
9. AI-specific terms
You acknowledge that AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing and approving all deliverables before use. ANN is not liable for the regulatory compliance of AI-generated content you choose to publish.
10. Governing law
These Terms are governed by the laws of the State of Texas. Any dispute will be resolved in the state or federal courts located in Austin, Travis County, Texas.
